Description of Service
TOAP Consulting Agency provides business solutions services to include consulting, strategy development, planning, and special advising. Your service is tailored to your needs and we advise all client to review the scope of work developed from the initial consultation prior to retaining our services. We hope you feel the utmost peace in utilizing our services.
Once a payment is received to reserve our services, we allot that time for your project and deny any subsequent projects that would infringe on your project’s timeline. If you have any questions or reservations, please contact us prior to making a payment for our services.

Payment for Service
Payments for requested services are due and payable upon receipt or at the time of rendering of services. Failure to pay may result in your client cancelling scheduled session and client may be liable for the allotted time set aside for the schedule sessions.
Chargeback
If we receive a chargeback or payment dispute (i.e., PayPal Dispute) from a credit card company or bank, your service and/or project will be suspended without notice. A $50 chargeback fee (issued to recover fees passed on to us by the credit company), plus any outstanding balances accrued as a result of the chargeback(s) must be paid in full before service is restored to include files delivered, or any further work is done.
Instead of issuing a chargeback, contact us to address any billing issues. Requesting a chargeback or opening a PayPal dispute for a valid charge from us is fraud and is never an appropriate or legal means of obtaining a refund. Please read and make sure you fully understand our refund policy prior to making a payment.
TOAP Consulting Agency reserves the right to discontinue and/or terminate a client’s contract if a client is found in violation ethical practices. Accounts terminated due to policy violations will not be refunded.
Refund Policy
All consultation services are project based and as such are billed based on the amount of work required to complete the project. For example, if the project requires our firm to complete more research or to accumulate, write or compile your report, there may be an additional charge to our standard consulting rates.
All services provided are at a no refund of the fees paid nor will we be liable for any consequential damages based on decisions made by the client relative to recommendations provided as a guide to said client.
Any claim for damages will expire within one years of when the invoice is emailed. Our liability is also limited to you; any recommendations provided to you may not be used or relied upon by any other parties.
Cancellation Policy
Please be advised that cancellations made up to [48 hours] before a scheduled appointment via [email, text, phone call] will be processed without a penalty.
Cancellations made [48 hours] or less before an appointment will be subject to a charge of [half of the service rate]. This includes appointments where our service provider is unable to access the property, is turned away, or the client is unavailable.
If TOAP Consulting Agency cancels an appointment with less than [48 hours’ notice], a new appointment will be scheduled without penalty to the client, subject to availability.
Separate Agreements
Any additional agreements that you have with us are separate from these Terms and Conditions. Please be advised that these Terms and Conditions do not modify, amend, or revise the terms or conditions of any other TOAP Consulting Agency agreement.
Force Majeure
Neither party shall be liable in any way for any damage, loss, cost or expense arising out of or in connection with a Force Majeure event. Upon the occurrence of any Force Majeure event, the party suffering thereby shall promptly inform the other party by written notice thereof specifying the cause of the Force Majeure event and how it will affect its performance.
Limitation of Liability
You expressly understand and agree that any injuries or damages resulting from or associated with your use of this our services will not be the responsibility of TOAP Consulting Agency, including but not limited to, injuries or damages caused by any of the following: use of (or inability to use) the services of any other third party website that may be linked to this website, failure of performance, error, omission, interruption, defect, delay in operation or transmission, incomplete or garbled transmission, computer virus, hardware or software failure, or, line or system failure.
In no event will TOAP Consulting Agency, its directors, officers, employees, agents, shareholders, consultants, subsidiaries, or affiliates, be liable for any direct, indirect, special, consequential, incidental, punitive, or exemplary damages (including, without limitation, any damages for lost profits, business interruption, loss of programs or data on your equipment, or otherwise), however caused and on any theory of liability, whether in contract, strict liability, or tort (including negligence or otherwise) arising in any way out of the use of our services based on clients directive or research data provided even if TOAP Consulting Agency has been advised of the possibility of any such damages. It is your responsibility to notify TOAP Consulting Agency of any changes to any email addresses or personal information and to adhere to the original or any changes to the services. Exemptions of implied warranties may not be allowed in all states and jurisdictions.
You must defend, indemnify, and hold harmless TOAP Consulting Agency, its directors, officers, employees, agents, shareholders, consultants, subsidiaries, or affiliates, from and against all claims and expenses, including attorney's fees, arising out of the use of the TOAP Consulting Agency website.
Obligations of the Client
The Client shall provide the Company with such information and access to such facilities and personnel as the Company shall reasonably require in order to provide the Services.
The Client shall make such decisions and provide such instructions as the Company shall require and at the time that the Company requires to enable the Company to provide the Services.
The Client acknowledges that the Company’s ability to provide the Services and to meet any timeframe agreed for the provision of the Services is dependent on the Client providing that information and access and providing those decisions and instructions at the times required by the Company.
No Guarantee
The client acknowledges and agrees that TOAP Consulting Agency cannot guarantee the results or effectiveness of any of the services rendered or to be rendered. Rather, services shall be executed in a professional manner and in accordance with good industry practice. Best efforts will be used but no results are promised.
Autopay: Recurring Credit Card Program
By enrolling in AutoPay by clicking the Purchase button on the payment page, you agree to allow TOAP Consulting Agency to automatically debit future consulting payments from your account. You also agree to allow your financial institution to debit your account for these payments, and you understand changes to your retained service may change the amount debited. You can discontinue automatic payments at any time by calling us at 561-317-5951.
